Credit Warning Agreement

1. Terms of Acceptance
1.1 The following sets forth the terms and conditions of the JCtrans Credit Warning Agreement (this "Agreement") between you and JCtrans, under which JCtrans offers you access to the Credit Warning service through the web site identified by the uniform resource locator www.JCtrans.net (the "Site"). Use of this service indicates that you accept the terms and conditions set forth below. If you do not accept all of the terms and conditions, please do not use this service. BY CLICKING THE "AGREE BUTTON", YOU ARE INDICATING YOUR CONSENT TO BE BOUND BY THIS AGREEMENT.
1.2 JCtrans may amend this Agreement at any time by posting the amended and restated Agreement on this Site. The amended and restated Agreement shall be effective immediately upon posting. Posting by JCtrans of the amended and restated Agreement and your continued use of the Credit Warning service shall be deemed to be acceptance of the amended terms. This Agreement may not otherwise be modified except in writing by an authorized officer of JCtrans.
2. Conditions of Use
The Credit Warning service can only be applied to law-binding contracts signed by both companies. If this condition is not met, please do not use this service. JCtrans reserves the right to refuse the use of the Credit Warning service to any company. The Credit Warning service will not be available to those members who are temporarily or permanently denied membership
3. Discharge of Liability
Company information shown on the Credit Warning service is posted by JCtrans member, and only serves for reference. Each Member hereby represents, warrants and agrees to maintain and promptly amend all information to keep it true, accurate, current and complete. JCtrans.net makes no judgment on the accuracy of the information. JCtrans denies any liability arising from the use of the information shown on the Credit Warning system by any company, including losses, damages, suits, claims or costs that anyone may incur as a result of any use of this information. Moreover, without limiting the scope of the foregoing, JCtrans shall not be liable for any direct, indirect, special, incidental or consequential damages arising from any use of this information, even if JCtrans has been warned of the possibility of said damages.
4. Consent for Use
The creditor consents to give JCtrans the right of exclusive, universal, permanent, free use (and the right to grant rights for others to use this material), which gives us the right to partially or entirely use, copy, modify, rewrite, release, translate, distribute, and show this information in any form or media, and to include the information in other documents
5. Privacy
Though there is consent for use as set forth in the fourth statement, JCtrans will only use creditor’s information under the terms of the Privacy Policy.
6. Obligation on the Part of the Creditor
a) The creditor has the obligation to provide and post the information, and prove the information and the evidence for that information is valid.
b) The creditor will assume all responsibility for all losses, costs or damages caused to themselves, JCtrans or the debtor through the use of the Credit Warning service
c) The creditor will ensure the authenticity and legitimacy of the information posted and will not make malicious comments. If the information posted by the creditor is not real, or is malicious to the third party or JCtrans, JCtrans has the right to refuse to post the information on our Site.
d) The creditor promises that disputes caused by the information posted will be solved by the creditor and debtor, and will assume the responsibility for any losses, damages or costs. If the creditor causes loss to JCtrans, including but not limited to counsellor fees, travel expenses, he will also compensate these.
7. Compensation
The creditor must agree that if he disobeys this Agreement, doesn’t adopt other documents stated in this Agreement, disobeys the law or violates the third party’s right, and if the third party claims for compensation from JCtrans Logistics Group, its subsidiary, branch office, board of directors, staff, or agents, the creditor must compensate the loss
8. Compliance with the law
The creditor must comply with the laws and regulations related to posting information on the Credit Warning service
9. Force Majeure
In case of inability to fulfil the contract or to continue operation due to natural disaster, strike, disturbance, shortage, ration, riot, war, governmental action, failure of communication and other facilities or serious injury, JCtrans disclaims all liability to the other two parties concerned.
10. Arbitration
Any dispute caused by this Agreement or our service should be submitted to Dalian Arbitration Commission, which will make a ruling on the arbitration. Such disputes should be arbitrated separately and should not be combined with other ones. The arbitration should be carried out in Dalian, Liaoning Province, China. The arbitration can be submitted to the jurisdictional court for arbitrament. Creditor members or JCtrans can seek interim or remedy measures, including but not limited to property and evidence to be submitted in court, from the jurisdictional court to protect rights
